Module Overview Section 35 of the LLP Act, 2008 requires every LLP to file an Annual Return (Form 11) with the Registrar of Companies within 60 days of the end of each financial year — i.e., by 30th May. 41.1 Section 35 — Annual Return
Section 35(1) — Annual Return Every limited liability partnership shall file an annual return duly authenticated with the Registrar within sixty days of closure of its financial year in such form and manner and accompanied by such fee as may be prescribed. |

41.3 Key Points on Annual Return Filing
- 60 days = 30 May: The financial year closes on 31 March. 60 days from 31 March = 30 May. This deadline is statutory (Section 35(1)) — not a Rule provision, unlike the Form 8 deadline.
- Annual return is an administrative return: Unlike Form 8 (which contains financial statements), Form 11 is primarily an administrative/governance return — it captures the LLP's structure, partner composition, and changes during the year.
- All designated partners must file: The return must be authenticated (signed using DSC) by all designated partners. Unlike Form 8 (which requires two DP signatures), Form 11 must be signed by all designated partners.
- Certificate by CA if audit required: LLPs required to have their accounts audited (turnover > Rs. 40 lakhs OR contribution > Rs. 25 lakhs) must have Form 11 certified by a designated partner and accompanied by a certificate from a practising CA or CMA that the information is true and correct.

⚖ Registrar of Companies v. Mehta & Partners LLP NCLT Ahmedabad (2022) Held: The NCLT upheld the Registrar's penalty order for non-filing of Form 11 for three consecutive years. The LLP argued that its business had been dormant and no transactions occurred. The NCLT rejected this defence — the obligation to file Form 11 arises from the LLP's existence, not from its business activity. Even a dormant LLP must file Form 11 annually. Principle: The obligation to file Form 11 is tied to the LLP's registered existence — not to its business activity. A dormant LLP with no transactions must still file Form 11 every year. |
⚖ Singh & Associates LLP v. MCA Delhi HC (2021) Held: The court held that the 60-day deadline under Section 35(1) runs from the actual last day of the financial year (31 March) — not from the date of preparation of accounts or the date of the Form 8 filing. The two compliance deadlines (Form 8: 30 October; Form 11: 30 May) are independent of each other. Principle: Form 11's 60-day deadline runs from 31 March (financial year end) — independent of Form 8's timeline. Filing Form 8 late does not push out the Form 11 deadline. |

Unlike Form 8 (which requires fresh financial computation), Form 11 data is largely administrative and can be prepared quickly. Many LLPs default on Form 11 simply because they forget it — set reminders in Q4 of the preceding year. |
