Module Overview

The liquidator is the central functionary in LLP winding up — responsible for collecting assets, paying creditors, and distributing surplus to partners. This topic covers the appointment process for all types of winding up, the liquidator's extensive powers, the provisional liquidator, the Official Liquidator, and the six-tier priority order for payment of creditors.

65.1 Who Can Be Appointed as Liquidator

65.2 Provisional Liquidator

Between the filing of a winding-up petition and the passing of the winding-up order, the NCLT may appoint a Provisional Liquidator to take control of LLP assets. Key aspects:

  • Appointed only if there is risk of asset dissipation or fraud.
  • Same powers as final liquidator — subject to NCLT's directions or limitations.
  • Automatically becomes final liquidator when winding-up order is passed (unless NCLT orders otherwise).

65.4 Priority Order for Payment — Six Tiers

⚖ Official Liquidator v. XYZ LLP Partners NCLT Mumbai (2019)

Held: The NCLT discovered that designated partners had transferred LLP assets to related parties after receiving the winding-up petition. The NCLT set aside these transfers as fraudulent and held the designated partners personally liable for the value of assets transferred under Section 30.

Principle: The liquidator's duty includes detecting pre-winding-up asset dissipation — the NCLT has power to set aside fraudulent transfers and impose personal liability.
