Module Overview

The Limited Liability Partnership Rules, 2009 are the subordinate legislation made by the Central Government under Section 79 of the LLP Act, 2008. They provide the procedural machinery — forms, timelines, fees, and processes — without which the Act cannot operate. This topic surveys the most examination-critical Rules, their relationship to the Act's provisions, and key amendments to the Rules.

28.1 Legal Basis for LLP Rules, 2009

Section 79 — Rule-Making Power

"The Central Government may, by notification, make rules for carrying out the provisions of this Act." Section 79 provides the statutory foundation for the LLP Rules, 2009. Rules made under Section 79 are laid before both Houses of Parliament and are subject to Parliamentary oversight.

The LLP Rules, 2009 came into force on April 1, 2009 (with exceptions: Rules 32, 33, 38–40 came into force on May 22, 2009). They were notified under Rule 1(2) to operate simultaneously with the LLP Act's commencement on April 1, 2009.

28.3 Most Examination-Critical Rules

Rule 5 — DPIN Application

Every individual intending to become a designated partner must apply for a DPIN (Designated Partner Identification Number). Application is made through the MCA21 portal. DPIN is allotted by the Central Government. No individual can be appointed as a designated partner without a valid DPIN.

Rule 7(3) — 30-Day Vacancy Filling

Any vacancy in the office of designated partner must be filled within 30 days of the occurrence of the vacancy. (This Rule is the source of the critical "30-day rule" tested in examinations.)

Rule 10 — Name Change

Voluntary name change applications under Section 18 are filed using the procedure specified in Rule 10. The Registrar checks for similarity conflicts and issues a revised Certificate.

Rule 14 — Change of Registered Office

Form 15 (Intimation of Change of Registered Office) must be filed within 30 days of the change. For inter-state moves, the old Registrar endorses the change and forwards records to the new Registrar.

Rule 21 — LLP Agreement Filing

Every LLP must file its LLP Agreement (Form 3) with the Registrar within 30 days of incorporation. If the agreement is amended, Form 3 must be refiled within 30 days of the amendment.

Rule 22 — Changes in Partners

Form 4 (Notice of Change of Partners/Designated Partners) must be filed within 30 days of any change in the partnership — admission, cessation, change in contribution, or change in designated partner status.

Rule 24 — Statement of Account and Solvency

Every LLP must file Form 8 (SoAS) within 30 days from the end of six months of the financial year — i.e., by October 30 each year. The Form 8 must be signed by two designated partners and certified by a practising CA/CMA where applicable.

Rule 25 — Annual Return

Every LLP must file Form 11 (Annual Return) within 60 days from the closure of the financial year — i.e., by May 30 each year (since FY ends March 31). The Annual Return contains details of partners, designated partners, contributions, and changes during the year.

28.5 LLP (Winding Up and Dissolution) Rules, 2012 — Brief Overview

As mentioned in Topic 4, the Central Government made separate LLP (Winding Up and Dissolution) Rules, 2012 under the authority of Sections 65 and 67 of the LLP Act. These Rules contain the detailed procedural framework for winding up — including Rules governing the appointment of the LLP Administrator (liquidator), conduct of winding up, distribution of assets, and dissolution. These Rules apply provisions of the Companies Act, 1956 (and later the Companies Act, 2013) to LLP winding up with modifications.

⚖ Bhagwan Dass v. State of Punjab (Principle applied to subsidiary legislation)

Held: Courts have consistently held that Rules made under delegated legislation must be intra vires the parent Act — they cannot expand the scope of the Act or create obligations not contemplated by the parent statute. The LLP Rules, 2009 have been upheld as intra vires the LLP Act, 2008 — they provide procedural machinery consistent with and authorised by the Act's provisions.

Principle: Delegated legislation (Rules) is valid only if it falls within the scope of the enabling provision in the parent Act. LLP Rules 2009 are consistently held to be intra vires Section 79 of the LLP Act.

📌 EXAM TIP: Rules vs Act — a favourite examination distinction: (1) The 30-day deadline for filling designated partner vacancy comes from Rule 7(3) — NOT directly from the Act. (2) The Forms (FiLLiP, Form 3, Form 4, Form 8, Form 11) are prescribed by the Rules — not specified in the Act itself. (3) The Act says "within 60 days" for Annual Return (Section 35) — the Rules specify Form 11. When answering, cite the Act section AND the Rule number for complete marks.

✔ PRACTICAL NOTE: A well-run LLP should maintain a compliance calendar with at least these dates: (1) April 1 — new FY begins; check residency of Indian designated partner; (2) May 30 — Form 11 (Annual Return) deadline; (3) September 30 — half-year end; SoAS preparation begins; (4) October 30 — Form 8 (SoAS) deadline; (5) Rolling: Form 4 within 30 days of any partner change; Form 3 within 30 days of any LLP Agreement amendment.
